These definitions, along with any others defined within the text of these Terms and Conditions, shall be collectively referred to as the "Defined Terms."
4. REGISTRATION AND ACCOUNT OBLIGATIONS

BUSINESSFORSELL.COM LLC operates an online marketplace that facilitates the connection of various stakeholders involved in buying and selling of businesses and franchises. Our Services include but are not limited to: a) Providing a platform for Sellers to list businesses and franchises for sale. b) Enabling Business Brokers to advertise their services to potential buyers and sellers. c) Providing a searchable platform for Buyers interested in purchasing businesses or franchises. d) Offering a platform for companies that provide financial services such as funding acquisitions. While we make reasonable efforts to provide a reliable platform, we do not and cannot guarantee the availability or accessibility of our Services at all times. Our Services may be unavailable for various reasons, including maintenance and system downtime, and we reserve the right at any time to modify or discontinue the Services (or any part or content thereof) without notice at any time.
6. SUBSCRIPTION TERMS
Access to certain features, functionalities, and data within our Services is available on a subscription basis. By purchasing a subscription, you gain access to these features and services for a specified period ("Subscription Term"). a) Payment: Payment for subscriptions must be made in advance. Your subscription will automatically renew, and you authorize us to collect the then-applicable annual or monthly subscription fee (as the case may be) using any credit card or other payment mechanisms we have on record for you. b) Auto-renewal: Unless you cancel your subscription before the end of your then-current Subscription Term, your subscription will automatically renew for another term of the same length. You can cancel your subscription at any time from your account settings. c) No Refunds: Subscriptions are non-refundable and there are no credits for partially used periods. Following any cancellation, however, you will continue to have access to the service through the end of your current Subscription Term. d) Modifications: We reserve the right to modify our subscription plans or discontinue our Services at any time. If we modify the price of your subscription, we will provide you with at least 30 days notice and you will have the opportunity to cancel your subscription before the changes take effect.
7. SUBSCRIPTION CANCELLATION AND REFUND POLICY
Subscribers may cancel their subscription at any time directly from their account settings on the Website. Following cancellation, you will continue to have access to the subscribed Services until the end of your current Subscription Term. Our subscriptions are non-refundable, and we do not provide refunds or credits for any partial-subscription periods or unused Services. In the event that BUSINESSFORSELL.COM suspends, limits, or terminates your access to the Services due to your breach of these Terms and Conditions, you understand and accept that you will not receive a refund for any unused portion of a Subscription Term. Please note that deleting your account or uninstalling the application does not cancel your subscription. If you cancel your subscription but not your account, we will retain your user information in accordance with our Privacy Policy.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any Third-Party Services. Furthermore, your dealings with or participation in promotions of advertisers found on the Website, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. However, you must ensure that your listings and any other User Content: a) Is not false, inaccurate, or misleading. b) Does not infringe upon any third-party's copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy. c) Does not violate any law, statute, ordinance, or regulation. d) Is not defamatory, libelous, threatening, or harassing. e) Is not obscene or contain any type of inappropriate content. We reserve the right, but are not obligated, to reject or remove any listing that does not comply with these conditions, and the law. By using our Services, you agree to comply with these guidelines and all applicable laws and regulations. Each User is solely responsible for their User Content. You represent and warrant that you own or control all rights in and to your User Content and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns. You understand and acknowledge that you are responsible for any User Content you submit or contribute, and you, not the Company, have fully responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Content posted by you or any other user of the Website. 12. FINANCIAL TRANSACTIONS AND RISKS
The BUSINESSFORSELL.COM Website and Services function solely as an online marketplace where Sellers, Buyers, and Brokers can connect and conduct transactions concerning the buying and selling of businesses and franchises. BUSINESSFORSELL.COM does not involve itself in the actual transaction between Business brokers, Buyers and Sellers or between Users and Third-Party Service providers. The Company has no control over the quality, safety, or legality of the businesses or franchises advertised, the truth or accuracy of the listings, the ability of Sellers to sell businesses or franchises, or the ability of Buyers to buy businesses or franchises. We do not guarantee the accuracy of individual User identities. Any financial transactions, dealings, correspondence with, or participation in promotions of Third-Party Services, and any other terms, conditions, warranties, or representations associated with such activities, are solely between you and the respective Third-Party Service. We urge you to investigate fully and understand all risks before entering into any transaction with any Third-Party Service. You acknowledge and agree that you assume full responsibility for all risks associated with any interactions with any other User in connection with the Services or the Website. You understand that the Company does not make any attempt to verify the statements of Users of the Website or Services.

14. INDEMNIFICATION

Furthermore, you understand and acknowledge that BUSINESSFORSELL.COM only provides an online marketplace where Users may meet and interact with one another. Therefore, in the event that you have a dispute with one or more Users, you release BUSINESSFORSELL.COM (and our officers, directors, agents, and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BUSINESSFORSELL.COM LLC, ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES OR WEBSITE SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF BUSINESSFORSELL.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: 1. THE USE OR THE INABILITY TO USE THE SERVICES OR THE WEBSITE. 2. THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICES OR WEBSITE; 3. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA. 4. STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES OR WEBSITE. 5. ANY OTHER MATTER RELATING TO THE SERVICES OR WEBSITE. UNDER NO CIRCUMSTANCES WILL BUSINESSFORSELL.COM’S TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES AND WEBSITE (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE AMOUNTS, IF ANY, THAT YOU HAVE PAID TO BUSINESSFORSELL.COM FOR YOUR USE OF THE SERVICES AND WEBSITE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
16. COPYRIGHT POLICY AND COPYRIGHT COMPLAINTS

BUSINESSFORSELL.COM shall not be liable for any failure or delay in the performance of its obligations due to causes beyond its reasonable control, including but not limited to, war, terrorism, sabotage, insurrection, riot or other act of civil disobedience, strikes or other labor shortages, act of any government affecting the terms hereof, accident, fire, explosion, flood, hurricane, severe weather or other disaster.
23. BREACH AND TERMINATION
BUSINESSFORSELL.COM may, at its sole discretion, suspend or terminate your access and use of the Website, at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all information associated with your account. We may also terminate or suspend any and all Services and access to the Website immediately, without prior notice or liability, if you breach any of the terms or conditions of these Terms Upon termination of your account, your right to use the Services, access the Website, and any Content will be deleted.
24. DISPUTE RESOLUTION AND GOVERNING LAW
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without giving effect to any principles of conflicts of law. You agree that any dispute arising from or relating to the subject matter of these Terms and Conditions shall be governed by the exclusive jurisdiction and venue of the state and federal courts of the State of Tennessee. Before filing a claim against BUSINESSFORSELL.COM, you agree to try to resolve the dispute informally by contacting our customer service. We'll try to resolve the dispute informally by contacting you through email. If a dispute is not resolved within 30 days after submission, you or BUSINESSFORSELL.COM may bring a formal proceeding.
